First Case of a POSCO Group Affiliate Issuing Bonds After Receiving an Investment-Grade Rating from an International Credit Rating Agency

Reflects Positive Evaluation from Global Investors on Stable Profitability and Strategic Importance within the Group

$300 Million in 3-Year Bonds and $400 Million in 5-Year Bonds with an Interest Rate of 6.375%, Totaling $700 Million

POSCO’s Indonesian joint venture, PT Krakatau POSCO, successfully issued global bonds totaling $700 million on May 30. The dual-tranche bonds consist of $300 million with a 3-year maturity and $400 million with a 5-year maturity. This marks the first instance of a POSCO Group affiliate issuing global public bonds based on its own credit rating, independent of POSCO. The bonds have an interest rate of 6.375% for both maturities, and the funds raised will be used to repay existing debt.

* Dual-tranche: Issuing two bonds simultaneously with different maturities or interest terms.

PT Krakatau POSCO is an integrated steel mill jointly formed by POSCO and Indonesia’s state-owned steel company, Krakatau Steel, in 2010. It currently operates one blast furnace with a production capacity of 3 million tons, along with hot rolling and heavy plate mills. The successful bond issuance by a local steel company in Southeast Asia, a region with relatively high country risk, is attributed to stable performance and the strategic importance of the project in the group’s overseas operations.

PT Krakatau POSCO has reported operating profits for three consecutive years, making it the third most significant entity in the group following POSCO International. On May 17, the international credit rating agency Standard & Poor’s (S&P) said in a report, “PT Krakatau POSCO is expected to maintain a solid market position and stable profitability in Indonesia. Considering its substantial role and investment scale in the group’s overseas operations, it is deemed a strategically important subsidiary.” S&P assigned a BBB- (stable) credit rating to its unsecured U.S. dollar bonds.

These points were emphasized during global investor presentations for the bond issuance. PT Krakatau POSCO announced its intention to issue global bonds in the Asian market on May 17, and began investor recruitment. From May 20, investor presentations were held in Singapore, Hong Kong, and London. POSCO, the parent company, also participated in these presentations to support PT Krakatau POSCO.

Ultimately, the bond issuance attracted 191 global institutional investors, with orders amounting to approximately $4.9 billion, nearly seven times the final offering amount. As a result, 80% of the bonds were allocated to Asian investors, while European and Middle Eastern investors received 20%.

There is a saying, “Think globally, act locally.” This saying means that the global strategy of a company should be considered from a global perspective, but its implementation should fit the local culture. POSCO, aiming to become a global leading steel company, also lays its base here.

‘How Do You Like POSCO?’ is a series presented here at POSCO Newsroom, introducing POSCO’s major global business sites and local employees who are living the global POSCO dream. The first story is about four local employees at PT.KRAKATAU POSCO, Indonesia.

“Aku Cinta Kamu.” – it means “I love you” in Indonesian.

A PT Krakatau POSCO employee recently made headlines for donating his reward money from the company to local charities. PT Krakatau POSCO is a joint venture company between PT Krakatau Steel Tbk, Indonesia, and POSCO Korea. Meet Muklis , a junior team leader at the coke plant of PT Krakatau who’s carrying out the sprit of POSCO’s global corporate citizenship. POSCO Newsroom reports.

▲ A PT Krakatau POSCO employee recently made headlines for donating his reward money from the company to local charities. Muklis, a junior team leader at the coke plant of PT Krakatau POSCO is the winner of the POSCO Grand Award for Corporate Citizenship of 2019.

l Establishing Eco-friendly Operating System and Receiving the ‘POSCO Grand Award for Corporate Citizenship’

The Award was established in 1992 and underwent a few name changes over the years. From this year, the award is reestablished as the ‘POSCO Grand Award for Corporate Citizenship’ to reflect POSCO’s new management principle, corporate citizenship. The annual award selects 10 outstanding employees from a total of 60,000 POSCO Group workers worldwide whose work performance and model behavior reflect the spirit of corporate citizenship.

▲ The winners of POSCO Grand Award for Corporate Citizenship of 2019 are taking photos with the POSCO CEO Jeong-Woo Choi (sixth from the right). Standing CEO Choi’s right is Mr. Muklis, the junior leader of the Ironmaking Department at PT Krakatau POSCO.

Muklis, a junior leader at PT Krakatau POSCO in Indonesia received the POSCO Grand Award for Corporate Citizenship on April 25.

Coke is used as a fuel in melting iron ore in a blast furnace and is produced in coke oven by baking coal until it becomes carbon by burning off impurities without burning up the coal itself. What Mr. Muklis did was to establish an eco-friendly coke oven helping improve the overall quality of life in the local communities.

▲ For the last two years, Mr. Muklis and his team were dedicated to improving coke oven facilities to make steel mills more environmentally friendly.

“The coke ovens tend to get bad reputations because it bakes coal. However, since the beginning of the operation, both Korean consultants and Indonesian staff collaborated to minimize the unexpected situation in the plant. Their dedication helped improve both the quality of the coke and the furnace operation. Furthermore, the facilities also improved the environment in the vicinity for the past two years – now the oven is so clean it’s called the garden of the steelworks. With every achievement, I feel incredibly grateful and proud of all the work our team is doing. I feel more confident than ever.”

l The Seed of Sharing to Spread to the Whole Country

From his reward money, Mr. Muklis donated 50 million IDR (approx. 3,600 USD) to the Red Cross Cilegon, where the PT Krakatau POSCO is located. He also donated 10 million IDR (approx. 716 USD) to a local charity where the Krakatau employees regularly volunteer.

*The average starting salary of university graduates in Indonesia is around 100 million IDR (7,160 USD).

▲ On June 25, Mr. Muklis delivers the donation to the Red Cross Cilegon.

“I couldn’t have done this alone. All the employees at the PT Krakatau POSCO contributed. If our company could help improve the lives and opportunities for the community, in turn, our local talents can grow up to contribute to the company, the steel industry, and entire Indonesia. I wanted the reward money to be put to good use.”

“It’s an incredible honor to receive the POSCO Grand Award for Corporate Citizenship. I would like to thank the CEO Jeong-Woo Choi – I want to tell my little boy all about it when he grows up.”

l Experiencing the Joy of Sharing at Pohang Steelworks

Mr. Muklis joined the PT Krakatau POSCO in 2012. In 2016, he worked as an exchange engineer at Pohang Steelworks for six months.

“I was impressed by the industrious work ethic in Korea and POSCO’s corporate culture. Everyone was so driven to tackle and solve problems together. The employees were incredibly loyal and had a sense of ownership for their work. After work, I would also go out for dinner and baseball games with my colleagues who also helped me with my Korean.

He also recalled being inspired by the employees’ regular volunteer work during the weekend.

▲ Mr. Muklis also donated 10 million IDR (approx. 716 USD) to a local charity where the PT Krakatau employees volunteer on a regular basis.

“One of the fondest memories were made at those weekend volunteer programs. The employees at Pohang Steelworks, as well as the family members, helped the local seniors –with haircuts and dying, etc. The experience inspired me to make donations to our local communities in Indonesia.”

It was while he was working at the Pohang Steelworks that his first child was born – a boy. Because of his fond memories from Korea, he named his son Daehan.

▲ Mr. Muklis’ family photo with his son Daehan

“I named him Daehan because I wanted the spirit of POSCO’s founding principles to be carried down to our family. POSCO is one of the top companies in Daehan Minguk. If I have another son, I would like to name him ‘Minguk.’

* Daehan: Composed of two Chinese characters, Daehan means ‘Big/Grand/Epic Korea’
** Minguk: Composed of two Chinese characters, Minguk means ‘Country of people’
*** Together, ‘Daehan Minguk’ means the Republic of Korea

l Pride and Strong Support System Moves the PT Krakatau Forward

For Mr. Muklis, PT Krakatau POSCO is more than just a job. He emphasizes the POSCO Grand Award for Corporate Citizenship was a team effort, not his individual achievement.

▲ PT Krakatau POSCO

“Everyone at PT Krakatau POSCO is incredibly proud to be part of the company – not only is POSCO the world’s top steelmaker, but PT Krakatau POSCO is its first steelworks outside of Korea – and the first integrated steel mill in entire Southeast Asia. I’m well aware of how all POSCO employees came together to build the Pohang Steelworks in the middle of wasteland – and now it’s the most competitive steel company in the world. We have a very supportive community here at PT Krakatau POSCO, which is how we overcame initial challenges and kept progressing.”

Indeed, PT Krakatau POSCO just achieved record-breaking steel production since its first operation. Just as Mr. Muklis acknowledged, it did overcome its initial challenges and kept progressing.

“I have no doubt the PT Krakatau POSCO is playing a significant role in the Indonesian economy. All our employees are moving towards the big vision – to become the biggest steelworks in Southeast Asia.”

▲ Mr. Muklis monitoring the coke plant.

“PT Krakatau POSCO’s success feels like a miracle. POSCO’s expertise and advanced technology, as well as the employees’ dedication and maximum initiatives, made all this possible. Just like the POSCO leader who’s mentoring the PT Krakatau POSCO, I would like to become the plant manager of the coke plant one day. I would like to witness the historical moment when we achieve 10 million-ton production.”

▲ ‘Pride of Indonesia’ – Mr. Muklis dreams of the day when the company achieves 10 million-ton steel production.

Mr. Muklis says not only must he develop his skills to become a good manager, but he’s also realizing the importance of establishing a unique company culture through active communications with the employees.

POSCO applauds Mr. Muklis’ dedication to Southeast Asia’s first integrated steel mill. POSCO Newsroom will accompany his journey as he continues spreading POSCO’s spirit of corporate citizenship.

“Terima Kasih! (Thank you)”

On April 18, POSCO announced that it posted consolidated sales of KRW 15.07 trillion, an operating profit of KRW 1.365 trillion, and a net profit KRW 976.9 billion in the first quarter of this year.

Consolidated sales slightly increased from the previous quarter while the operating profit ratio increased from 3.1% to 9.1%. Thanks to the increased profits of the steel division, as well as the improved performance of its non-steel divisions, such as trading and engineering & construction (E&C), POSCO’s operating profit increased by 189.4% from the previous quarter.

The aggregate operating profit of the steel division increased by 60.8% to KRW 1.0234 trillion while the aggregate operating profit of the trading division increased by 60% to KRW 126.7 billion. POSCO’s steel subsidiaries saw improved performance, helping overall operating profit. The E&C division also saw profits increase by 26.7% from the previous quarter to KRW 75 billion.

The operating profits of Zhangjiagang Pohang Stainless Steel (ZPSS) in China increased by 41.7% to KRW 52 billion while the operating profits of India POSCO Maharashtra increased by 80% to KRW 38.7 billion. Additionally, operating losses greatly decreased at PT Krakatau POSCO and Vietnam POSCO SS-VINA.

Compared to the previous quarter, the sales profit of POSCO increased by 9.7% to KRW 7.0674 trillion and the operating profit of POSCO increased by 63% to KRW 795.4 billion, resulting in a net profit of KRW 839.6 billion.

Due to the expansion and repair of Pohang blast furnace No. 3, production and sales volume slightly declined from the previous quarter, but the share of sales of its World Premium Products (WPP) increased from 2.4% to 53.4% compared to the previous quarter. Due to increased sales of higher value-added products, reduced costs, continued efforts to improve profitability, and the rise in steel prices, the operating profit ratio increased from 3.7% to 11.3% from the previous quarter.

POSCO’s debt-to-equity ratio has dropped to 17.6% separate and 71% consolidated, a 1.6% and 6% decrease, respectively, from the previous year.

POSCO has also been moving forward with its restructuring efforts since the inauguration of CEO Ohjoon Kwon and aims to reduce the number of domestic affiliates from 49 to 32 by the end of this year. POSCO plans to secure the future of the company for the next 50 years by laying the groundwork of integrating smart technologies with the core competencies of the Group.

Through this program, POSCO seeks to make use of the expertise and technologies specific to each affiliate and for participants to return and share their newly acquired skills with other employees. With GMP, overseas employees also have a chance to develop a network of connections worldwide.

GMP participants just completed their two-week training program last week, which included on-site training and seminars on POSCO’s values, culture, and working systems. For the first week, participants learned about POSCO’s history along with different aspects of Korean language and culture. During the second week, there was a lecture on the work phases of a steel mill and participants visited the steelworks for a fuller understanding of the steel production process.

This year, POSCO made more of an effort to include material that would help participants have a greater understanding of POSCO’s management policies, such as solution marketing and POSTIM. Additionally, participants were able to share their own unique work experiences and learn more about how POSCO operates around the world.

Participants continued their training, working with different departments. These included the Human Resources & Labor Relations Group of Gwangyang Works, the Plate Rolling Department, the Automotive Flat Products Exports Group, and POSCO Group University.

Through the GMP, POSCO Group University hopes to steadily foster the growth of future management leaders and experts with POSCO’s innovative DNA. The second training will be conducted in June.

On March 13, Kwon met with Jeffrey Immelt, the chairman of the board and chief executive officer at GE, to discuss potential partnerships that could add more smart factory solutions to POSCO’s factories.

CEO Kwon of POSCO greets Chairman & CEO Jeffrey Immelt of GE to discuss ways to integrate GE’s smart factory solutions into POSCO’s steel and non-steel factories

He met with executives to discuss best practices and share thoughts on potential collaborations. At that time, Kwon and Immelt were not able to meet so they took advantage of Immelt’s time in Korea for a face-to-face meeting.

Kwon and Immelt discussed different ways that smart technologies could be incorporated into POSCO’s steel and non-steel factories. By combining GE’s strength in equipment manufacturing and POSCO’s expertise in the steel industry they hope to create more advanced smart industrial solutions. POSCO, in particular, was looking to introduce smart features to their material, energy, and construction businesses through this partnership.

Last year, the overseas steel business division’s operating profit reached KRW 218.2 billion, up by KRW 648.1 billion from 2015. This is a result of increased sales of high-margin products and intentional efforts to cut costs.

POSCO plans to focus on strengthening its financial structure by increasing the sales of its World Premium Products. Samsung C&T Co. was recognized for achieving the highest number of sales (88,000 tons, which accounts for 17%), while Hyosung and ThyssenKrupp were recognized for pioneering new markets. Awards were handed out to Yong-soo Kim, a senior managing director at Samsung C&T, Wolfgang Schnittker, CEO of ThyssenKrupp, and representatives from Hyosung. “We want to thank PT Krakatau POSCO for holding this event and hope to continue building our partnership for continued success,” said a representative from Samsung C&T.

During the main portion of the event, participants discussed marketing strategies to expand the sales of World Premium Products (WPP), countermeasures for common issues, and sales strategies. In addition, with its eye on overcoming recently strengthened protectionist policies, PT Krakatau POSCO also discussed ways to improve its own brand management, which included a regional sales quota management plan with further emphasis on indicating the place of origin on its products. PT Krakatau POSCO is steadily ramping up sales by implementing strategies to promote high-end products (such as WPP).

PT Krakatau POSCO is in its fourth year of operation since beginning its full-scale sales activities in 2014. Its cumulative exports of steel plates amounted to 290,000 tons in 2014, 445,000 tons in 2015, and 510,000 tons in 2016 due to aggressive new customer acquisition and local market development activities. The company has also connected with 307 new buyers in 23 countries including Southeast Asia, Europe, and Brazil.

In the future, PT Krakatau POSCO plans to continue developing partnerships with trading companies and to make efforts to strengthen its position and competitiveness as Southeast Asia’s first integrated steel mill and as a leading steel plate maker for the region.
